1.2 Who We Are. PureDirect is a division of Pure Rx ("PureDirect," "we," "us," or "our"). References in these Terms to PureDirect include Pure Rx and its affiliates where the context requires.

1.3 Organizational Status. This organization operates as an Indian Nation facility and is organized under the authority of the Indian Nation under which it is chartered (the "Nation"). PureDirect conducts its operations in accordance with the laws of the Nation and applicable federal law.

1.4 Modifications. We may modify these Terms at any time. Material changes will be reflected by posting revised Terms to the Website with a new "Last Updated" date. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms. You are responsible for reviewing these Terms periodically.

1.5 Additional Agreements. Certain features, including account registration, credentialing verification, and product ordering, are governed by separate agreements, including the Provider Terms and Conditions and any applicable purchase or supply agreement. Where a separate agreement conflicts with these Terms, the separate agreement controls as to the subject matter it covers.

2. Website Purpose & Intended Users

2.1 Professional Use Only. The Website is intended solely for licensed healthcare professionals and the practices, pharmacies, and facilities they represent, including physicians, nurse practitioners, physician assistants, pharmacists, and other licensed professionals authorized to purchase, prescribe, dispense, compound, or administer the categories of products offered, each within their own scope of practice and licensure. The Website is not directed to patients, consumers, or the general public.

2.2 Our Role. PureDirect supplies products labeled for professional use only to licensed clinicians and authorized accounts, and operates as an Indian Nation facility as described in Section 1.3. We do not sell directly to patients. The Website provides product, ordering, and documentation information for qualified professionals. Nothing on the Website constitutes medical advice, clinical guidance, or professional healthcare advice.

2.3 No Medical or Clinical Advice. Content on the Website, including product names, presentations, strengths, specifications, storage and handling information, catalogs, and technical documentation, is provided for informational purposes only and does not constitute:

(a) Medical, clinical, pharmaceutical, or treatment advice

(b) A recommendation for any patient, condition, indication, or use

(c) Guidance on prescribing, dosing, reconstitution volumes, administration, or treatment protocols

(d) Advice on regulatory compliance, licensure, or scope of practice

(e) Any representation regarding the safety or efficacy of any product for any use

(f) A substitute for independent professional judgment or advice from qualified counsel

2.4 Storage and Handling Information. Any storage, handling, or general product-care information we publish is general reference information only. It does not establish beyond-use dating, compounding parameters, or clinical protocols. The conditions printed on the product label and the accompanying Certificate of Analysis control, and you are responsible for determining the requirements applicable to your practice setting.

2.5 Professional Responsibility. You are solely responsible for exercising independent professional judgment in all clinical and dispensing decisions. Any decision to purchase, handle, compound, or use a PureDirect product must rest on your own evaluation, training, licensure, and compliance with applicable law.

3. Accounts & Eligibility

3.1 Registration. Certain features require an account. You agree to provide accurate, current, and complete information during registration, including information sufficient to verify your professional license or your entity's authorization to purchase.

3.2 Eligibility. To hold an account you must: (a) be at least 18 years of age; (b) hold, or be employed by an entity that holds, a valid, active, and unrestricted license or registration authorizing the purchase and use of the products offered; (c) provide truthful and accurate information; and (d) agree to the Provider Terms and Conditions governing purchases.

3.3 Verification and Ongoing Accuracy. We may verify your credentials at registration and at any time afterward, including through third-party verification services and state licensing boards. You agree to keep your account information current and to notify us promptly if your license status changes, lapses, is restricted, or is subject to disciplinary action. We may condition, suspend, or decline access pending verification.

3.4 Account Security. You are responsible for the confidentiality of your credentials and for all activity under your account. You agree to use a strong, unique password, not to share credentials, to notify us immediately of any unauthorized access or suspected breach, and to log out at the end of each session. 3.5 Suspension or Termination. We may suspend or terminate your account at any time, with or without notice, including where we believe you have violated these Terms, provided inaccurate information, lost required licensure, or engaged in unlawful or fraudulent activity.

(f) Interfere with or disrupt the Website or connected servers or networks

(g) Use bots, scrapers, spiders, or other automated means to access the Website or collect Content

(h) Probe, scan, or test the vulnerability of the Website or attempt to breach security measures

(i) Transmit viruses, malware, or other harmful code

(j) Collect or harvest information from the Website without authorization

(k) Use the Website to transmit unsolicited communications

(l) Impersonate PureDirect, Pure Rx, or any of our employees or representatives

(m) Reproduce, distribute, or publicly display Website Content without authorization

(n) Reverse engineer, decompile, or disassemble any software or technology used on the Website

(o) Use the Website in any manner that could damage, disable, overburden, or impair it

4.3 Compliance with Laws. PureDirect's own operations are conducted under the laws of the Nation and applicable federal law. You agree, for your part, to comply with all federal, state, local, and other laws and regulations applicable to you in connection with your use of the Website, including those governing professional licensure, healthcare practice, pharmacy and compounding practice, recordkeeping, and the purchase, handling, and use of the products offered.

5. Intellectual Property

5.1 Ownership. The Website and all content, features, and functionality, including text, graphics, logos, images, photographs, product renderings, catalogs, videos, software, code, data compilations, and the design, selection, and arrangement thereof (collectively, "Content"), are owned by PureDirect, Pure Rx, our licensors, or other content providers, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Trademarks. "PureDirect," "Pure Rx," the PureDirect and Pure Rx logos, and related names, logos, product names, designs, and slogans are trademarks of PureDirect or its affiliates. You may not use them without our prior written permission. Other names, logos, and marks appearing on the Website are the property of their respective owners.

5.3 Limited License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website in connection with your professional practice. This license does not include the right to: (a) modify, copy, or create derivative works of the Website or Content; (b) use the Website or Content for any commercial purpose beyond what is expressly permitted; (c) remove any copyright, trademark, or proprietary notice; or (d) transfer, sublicense, or assign your rights.

We do not warrant that product descriptions, pricing, availability, or other Content is accurate, complete, current, or error-free. Product images and renderings are illustrative and may not reflect the actual product, packaging, or labeling supplied.

6.2 Labeling and Regulatory Status. Products offered are labeled for professional use only and are made available exclusively to licensed clinicians and authorized accounts. Products are not FDA-approved for any indication. We make no representation regarding the regulatory status, permissible uses, safety, or efficacy of any product for any particular indication, patient, or application. 6.3 Documentation. Certificates of Analysis and related batch documentation are made available to authorized accounts on request. Documentation describes the tested attributes of a given lot and does not constitute a representation regarding suitability for any particular clinical use.

6.5 Pricing and Availability. Prices are subject to change without notice. Catalogs, price lists, and product listings are subject to change, and product names, strengths, and ordering codes current as of a published date may be superseded. 7. Verified Domains & Unauthorized Seller

7.1 Verified Domains. Our verified domains are www.puredirect.org and www.purerx.org. Content, product listings, pricing, and communications appearing on any other domain are not ours and are not authorized by us.

7.2 No Affiliation with Impersonators. We are not affiliated with, and disclaim all responsibility for, any impersonator, unauthorized distributor, reseller, or other party that uses a similar name, likeness, mark, or moniker. We make no representation regarding products obtained from any source other than PureDirect or an authorized account, and we assume no liability for such products.

7.3 Reporting. If you encounter a party you believe is misusing our name or marks, or offering products represented as ours, please contact us at the address in Section 14.

9.2 Liability Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless PureDirect, Pure Rx, and their respective officers, directors, employees, agents, affiliates, successors, and assigns from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

(c) Your violation of any applicable law or regulation, including licensure and scope of practice requirements

(d) Your violation of any third-party rights, including intellectual property rights

(e) Any content or information you submit to the Website

(f) Your negligence or willful misconduct

(g) Any clinical, dispensing, or compounding decision you make involving a product obtained from us

10.2 Procedure. We reserve the right, at our own expense, to assume exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully in the defense of any such claim.

12. Dispute Resolution

12.1 Governing Law. These Terms and any dispute arising out of or related to the Website are governed by the laws of the Nation and applicable federal law, and, where not inconsistent with the foregoing, the laws of the State of Nevada, in each case without regard to conflict of law principles.

12.2 Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Website shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Clark County, Nevada. The arbitrator's decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

12.3 Reservation of Rights and Defenses. Nothing in these Terms constitutes a waiver of any right, immunity, privilege, or defense available to PureDirect or the Nation under applicable law. Any such waiver must be express, in writing, and signed by a duly authorized representative, and is limited in scope to the terms of the written waiver.

12.4 Waiver of Jury Trial. YOU AND PUREDIRECT EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE WEBSITE.

12.5 Waiver of Class Actions. Dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action, class arbitration, or other representative proceeding.

12.6 Time Limitation. Any claim arising out of or related to the Website or these Terms must be filed within one (1) year after it arose, or it is permanently barred.

14.5 No Third-Party Beneficiaries. These Terms create no third-party beneficiary rights.

14.6 Force Majeure. We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, epidemic or pandemic, war, terrorism, civil unrest, labor disruption, supply chain or carrier failure, government action, or internet or telecommunications failures.

14.7 Headings. Section headings are for convenience only and have no legal effect.

14.8 Electronic Communications. By using the Website, you consent to receiving electronic communications from us and agree that agreements, notices, and other communications provided electronically satisfy any requirement that they be in writing.
